TOURNAMENT PRIZE RULES
2018 U12 World Challenge U.S. Qualifiers
I. The terms and conditions stated herein, together with any specific rules set out in Tournament Notices (as defined below) are the Tournament Rules (“Rules”) and apply to the 2018 U12 World Challenge U.S. Qualifiers (the “Tournament”) co-hosted by OC Professional Soccer LLC and Honda Estilo USA, LLC (the “Organizers”), unless otherwise expressly stated in writing. By entering the Tournament, entrants agree to be bound by these Rules.
II. Rules specific to the Tournament are displayed in a notice on http://u12worldchallenge.us/official-prize-disclosures (“Tournament Notice”) or in a notice in which the Tournament appeared and are incorporated into the Rules. In the event of a discrepancy between these terms and conditions and the Tournament Notice, the Tournament Notice shall prevail.
III. Organizers reserve the right to cancel or amend the Tournament or the Rules without notice in the event of a catastrophe, war, civil or military disturbance, act of God or any actual or anticipated breach of any applicable law or regulation or any other event outside Organizers’ reasonable control. Any changes will be posted either within these terms and conditions or the Tournament Notice.
IV. QUALIFYING ENTRANTS. The following terms and conditions shall apply to the qualifying entrants:
a. By entering the Tournament, each such entrant hereby warrants that all information submitted by the entrant is true, current and complete. Organizers reserve the right to verify the eligibility of all entrants.
b. Organizers reserve the right to disqualify any entrant if it has reasonable grounds to believe the entrant has breached any of the Rules.
c. In the event that any entrant is disqualified from the Tournament, Organizers in their sole discretion may decide whether a replacement should be selected. In this event, any further entrant will be selected on the same criteria as the original entrant and will be subject to these Rules.
d. Additional eligibility requirements may apply to the Tournament (e.g. a valid passport and visas will be required since the Prize includes travel outside the United States of America).
V. PRIZE. The following terms and conditions shall apply to the Prize:
a. There will be one (1) Prize awarded (“Prize” and/or “Prizes”), consisting of all the following:
1. Official invitation to compete in the 2018 U12 Junior World Challenge – Final 2018
2. Flights to Japan. UP TO (18) Players / (2) Coaches. Round Trip flights From Los Angeles, CA to Osaka, Japan. subject to the requirements and restrictions stated in this Section (5).
3. Accommodations in Japan. UP TO (18) Players / (2) Coaches – 2 Coaches per room and 4 players per room. Minimum of 5 and Maximum of 7 nights in Japan. Departure date will be August 19-20, 2018 and Return date August 26-27.
4. All tickets will be basic economy class or equivalent.
5. Only eligible for players and coaches registered at U12 World Challenge U.S. Qualifiers – 2018
b. The prize of the Tournament has been sponsored by the following companies (the “Sponsors”) as follows:
1. Toyoshima & Co., Ltd
3. H.I.S. International Tours Inc.
c. The prize is strictly limited to the eighteen (18) registered members of the 2018 U12 World Challenge US. Qualifier champions and their two (2) registered coaches.
d. Prizes are awarded at the discretion of Organizers and no Prize will be awarded as a result of improper actions by or on behalf of any entrant.
e. Prizes are non–transferable and there is no cash alternative. Organizers reserve the right to substitute prizes of equal or greater value at any time.
f. Prize winners will be notified in the manner and within the time specified on the Tournament Notice. Return of any prize notification as undeliverable or failure to reply as specified in the notification (and within the time stated) may result in disqualification and selection of an alternate winner. Tournament winner(s)’ names may be published in the Organizers’ publication in which the Tournament appeared and on the relevant Publication’s website.
g. Claims for Prizes must be made in the manner and within the time specified on the Tournament Notice. Failure to claim a prize within this time or in the manner specified may result in disqualification and selection of an alternate winner.
h. All taxes, insurances, transfers, spending money and other expenses (including meals or personal expenses upgrades etc.) as the case may be unless specifically stated, are the sole responsibility of the Prize winners.
i. Organizers have no responsibility for cancellations, delays, or any other change by any company or person providing any element of the Prize due to reasons beyond Organizers’ control and is not responsible or liable for any expenses incurred as a consequence thereof.
j. The prize is awarded without warranty of any kind from Organizers, express or implied, without limitation.
k. Prize may be subject to terms imposed by the Sponsor(s) or other Prize provider(s), including, but not limited to, prohibitions on selling the Prize, limiting the Prize for personal and not business use, and expiration dates.
l. Organizers will not be responsible for any harm, damage, loss or claim relating to the provision of any element of a prize or any changes to a prize may be made at any time. Entrant(s) agrees that their participation in the Tournament, and acceptance and/or use of.
m. A prize, or any aspect thereof, is at entrant(s)’s own risk.
n. Organizers may require you to provide it with such additional information and documentation as Organizers may reasonably require in order to process, confirm and facilitate entrant(s)’s acceptance and/or use of a prize. If entrant(s) refuse to provide Organizers with the requested information or documentation, entrant(s) will forfeit the Prize.
VI. WARRANTY. Organizers do not make any representation or give away warranties, whether expressly or implicitly, as to a prize, and in particular, but without limitation, make no representations and give no warranty as that:
a. Entrant(s)’s entry or participation in the Tournament will necessarily result in entrant(s)’s winning a prize;
b. A prize, or any aspect thereof, will meet entrant(s), or if applicable, entrant(s)’s parents and or guardians’ requirements, preferences, standards or expectations.
c. A prize, or any aspect thereof, will be satisfactory, punctual, free from defects, safe or reliable.
VII. LIMITATION OF LIABILITY. Insofar as is permitted by law, Organizers, their agents or distributors, will not in any circumstances be responsible or liable to compensate the winner or accept any liability for any loss, damage and consequential damage of any nature, personal injury or death occurring as a result of accepting the Rules or of taking up the prize except where it is caused by the negligence of Organizers, their agents or distributors or that of their employees. Entrant(s)’s statutory rights are not affected.
VIII. RELEASE. By participating in the Tournament all entrants agree to release, indemnify and hold harmless the Organizers, Sponsors, and their respective parent, subsidiary, and affiliated companies, and all officers, directors, equity holders, agents, employees, representatives and associates thereof, for any and all claims, demands, losses, or damages, inquiries and/or liabilities of every kind whatsoever, whether now known or unknown, arising out of, resulting from, or in any way connected with the entrants or any person or entity, including without limitation damage to personal or real property, caused in whole or in part, directly or indirectly, by reason of their participation in this Prize (or related activities) or their acceptance, possession or use/misuse of a Prize.
IX. PUBLICITY. By participating in the Tournament, entrant(s) agree to cooperate in all advertising, marketing and publicity material and activities Organizers may, at their expense, produce or arrange. Entrant(s) also agree if requested (a) to wear any branded clothing or attire Organizers may provide; and (b) to sign, if requested, an irrevocable release form allowing Organizers, without any compensation being payable, to use entrant(S)’s name, photograph, likeness, details of the country and/or city where entrant(s) lives, any comments made by or attributed to entrant(s), and to incorporate any such information and any audio/visual recording or broadcast for such promotional purposes, in any media, throughout the world. Entrant(s) further agrees not to make use of any third-party branding or advertising for any organization which Organizers consider to be its competitor, and entrant(s) agrees not to conduct themselves in a manner that might, in Organizers’ reasonable opinion, bring Organizers, any of their affiliates or Sponsors or any of its or their respective brands into disrepute. In the event of any breach of this requirement, Organizers reserve the right not to award a Prize or to seek the return of any Prize awarded.
X. ADVERTISING AND SOLICITATION. By entering this contest, entrant(s) consent to receiving periodic emails and solicitations from Organizers, the Sponsors, and third-party vendors that may constitute requests to engage in a monetary transaction. Each email from Organizers will provide entrant(s) the ability to opt out of future communication. If entrant(s) would prefer to opt out now, please email firstname.lastname@example.org. If entrant(s) do not want Organizers to share entrant(s)’s information with third parties, please email email@example.com.
XI. ERRORS & OMISSIONS. Organizers are not responsible for lost, late, incomplete, damaged, stolen, invalid, unintelligible or misdirected information. Organizers are not responsible for lost or late entries nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Organizers or presenter on account of technical problems or traffic congestion on the Internet or at any Website or any combination thereof. If for any reason the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Organizers which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Prize, Organizers reserve the right at its sole discretion, to disqualify any individual who tampers with the entry process, violates these official rules, or acts in a disruptive or unsportsmanlike manner, and to cancel, terminate, modify or suspend the Prize. In such a situation, Organizers reserve the right to select the runner-up for the Prize. Without limiting the foregoing, Organizers may reject any entrant if, in Organizers’ sole judgment, the entrant has been disqualified, has questionable eligibility, or is otherwise ineligible to enter or participate. Organizers are not responsible for any typographical or other error in the printing of the offer, administration of the Prize or in the announcement of the Prize.
- A PERSON WHO ATTEMPTS TO UNDERMINE THE LEGITIMATE OPERATION OF THIS PRIZE MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PENALTIES AND FINES; AND ORGANIZERS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
XII. GOVERNING LAW. The Rules and any dispute or claim arising out of or in connection with them or their subject matter (including the Tournament), existence, negotiation, validity, termination or enforceability (including non-contractual disputes or claim) shall be governed by and construed in accordance with the laws of State of California, without giving effect to any choice or conflict of laws provision or rules thereof.
XIII. ARBITRATION. Any dispute, controversy or claim arising out of or relating to the Rules or the Tournament, its enforcement, arbitrability or interpretation, or because of an alleged breach, default, or misrepresentation in connection with any of its provisions, including any alleged violation of statute, common law or public policy shall be submitted to final and binding arbitration before American Arbitration Association to be held in the City of Irvine, County of Orange, California before a single arbitrator, in accordance with the then-current American Arbitration Association Commercial Rules and the Federal Arbitration Act, as modified by the terms and conditions contained in this paragraph. The arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, then by striking from a list of arbitrators supplied by American Arbitration Association. The arbitrator shall issue a written opinion stating the essential findings and conclusions on which the arbitrator’s award is based. The parties hereby consent to the jurisdiction of any court located in California as may be necessary to enforce this provision or from which equitable relief is sought hereunder.
XIV. SEVERABILITY. If any provision(s) of the Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
